1. Introduction

Welcome to Hemiley. These Terms & Conditions ("Terms") govern your access to and use of the Hemiley website located at https://www.hemiley.com (the "Platform") and all tools, features, products, and content made available through it.

Hemiley operates a web-based platform that provides free online productivity tools, a Premium Tools section offering access to select third-party AI-powered tools and software subscriptions, and professional services through its Services section. The online tools may be used free of charge, while Premium Tools and professional services may be subject to fees.

Please read these Terms carefully before using the Platform.

2. Acceptance of Terms

By accessing or using the Platform, you confirm that:

• You agree to be bound by these Terms and our Privacy Policy

If you do not agree with any part of these Terms, please discontinue use of the Platform immediately.

3. Use of the Platform

3.1 Permitted Use

You may use Hemiley's tools and features for:

• Personal use — for your own productivity, learning, or everyday tasks
• Educational use — for academic research, study, or coursework
• Professional or business use — for legitimate workplace or commercial tasks

3.2 Prohibited Use

You may NOT use the Platform to:

• Abuse, overload, or disrupt the Platform or its infrastructure
• Attempt to gain unauthorised access to any part of the Platform, its servers, or connected systems
• Upload, transmit, or process malicious files, viruses, or harmful code
• Upload or process any content that is unlawful, defamatory, obscene, infringing, or otherwise objectionable
• Interfere with or interrupt the normal operation of the Platform or other users' access
• Use the Platform for any unlawful, fraudulent, or deceptive purpose
• Scrape, copy, or redistribute Platform content or tools without written permission
• Reverse-engineer, decompile, or attempt to extract the source code of any tool or feature
• Use automated bots, scrapers, or crawlers to access or extract content from the Platform

We reserve the right to restrict or terminate access for any user found to be in violation of these prohibitions, without prior notice.

4. User-Uploaded Content and Files

Several tools on the Platform — including PDF Tools and Image Tools — allow you to upload files for processing. By uploading any file to the Platform, you represent and warrant that:

• You are the owner of the uploaded content, or have the necessary rights and permissions to upload and process it
• The uploaded content does not infringe any third-party intellectual property rights, privacy rights, or applicable law
• The uploaded content does not contain malicious code, viruses, or harmful data

You retain full ownership of any content you upload. Hemiley does not claim any ownership rights over your uploaded files. We do not store, retain, or use uploaded files beyond the time required to perform the requested tool function.

You are solely responsible for the content of any files you choose to upload to the Platform. Hemiley shall not be liable for any claim, loss, or damage arising from content you upload.

5. Tool Requests

Users may submit ideas, suggestions, tool requests, or feedback through forms on the Platform ("Submissions"). By making a Submission, you agree that no Submission shall be treated as confidential or proprietary to you.

We genuinely value user feedback and use it to improve the Platform, but we are under no legal obligation to respond to or implement any particular request.

6. Brand Identity and Platform Ownership

The Hemiley name, brand identity, and Platform were independently created by the Hemiley team. What we assert and reserve all rights to:

• The Hemileybrand name and trademark — including the name "Hemiley" and associated identifiers used in commerce
• The source code and functional logic of tools built by our development team, to the extent authored by humans
• The overall structure, selection, and arrangement of the Platform and its tool categories, as a curated collection
• The Hemiley domain (hemiley.com) and all associated sub-domains and web properties

Regardless of the nature of our ownership, you may NOT:

• Use the Hemiley name, logo, or branding in any way that implies endorsement, partnership, or affiliation without our written consent
• Republish, mirror, or commercially exploit the Platform's tools, code, or content on any other website or service
• Misrepresent the origin or ownership of the Platform or any of its tools
• Reverse-engineer or extract the source code of any tool for the purpose of reproducing or competing with the Platform

You may share links to the Platform and reference Hemiley for informational or editorial purposes, provided you do so accurately and without misrepresentation.

7. Paid Professional Services and Service Fees

Hemiley may offer professional services through the Services section of the Platform, including web development and other services that may be introduced from time to time. These services are separate from the free online tools and may be subject to fees.

The fee for a professional service is determined based on the applicable scope and requirements. Depending on the service, factors may include the number of pages or deliverables, design requirements, functionality, integrations, technical complexity, content requirements, and other project-specific considerations.

For services that follow a discovery and review process, Hemiley may first understand the client's requirements and prepare an initial portion of the proposed work for review. For the web development service, the initial build may cover approximately 60–70% of the website before the final quotation is prepared.

Hemiley does not require an advance or upfront payment to begin the initial web development build described above. After the initial build is reviewed, Hemiley may provide a quotation based on the agreed scope.

A paid service will proceed beyond the applicable review stage only after the client has accepted the relevant quotation or commercial terms.

Where a professional service includes a review and revision stage, Hemiley does not charge a separate revision fee for revisions requested before final deployment within the agreed scope. Requests for materially new features, additional pages, or work outside the agreed scope may require a revised quotation.

Any applicable third-party costs — such as domain, hosting, paid software, third-party APIs, licences, or payment processing charges — will be the client's responsibility only where such costs are identified or agreed as part of the applicable project scope or quotation.

8. Premium Tools and Third-Party Product Subscriptions

Hemiley's Premium Tools section offers access to select AI-powered tools and software subscriptions developed and operated by third-party providers, including but not limited to ChatGPT (OpenAI), Claude AI (Anthropic), Whisper Flow, ElevenLabs, Lovable, and other products that may be added to the Platform from time to time ("Third-Party Products").

Hemiley acts as an authorised reseller or access provider for these Third-Party Products. When you purchase a Premium Tool through Hemiley, you are purchasing access facilitated by Hemiley — the underlying product is owned, operated, and supported by the respective third-party provider.

8.1 Nature of Premium Products

Hemiley does not develop, own, or control the AI models or software underlying Third-Party Products available in the Premium section. We facilitate your access to these tools as a convenience service.

8.2 Third-Party Terms

Your use of any Third-Party Product accessed through Hemileyis subject to that product's own Terms of Service, Privacy Policy, and Usage Policies, in addition to these Terms. You are responsible for reviewing and complying with the applicable third-party terms.

8.3 Pricing and Access

The pricing and scope of access for Premium Tools will be clearly communicated before you complete a purchase. All applicable fees and commercial terms will be confirmed prior to payment. Hemiley reserves the right to update Premium Tool offerings, including pricing or availability, with reasonable notice.

8.4 Third-Party Service Continuity

The availability, features, and policies of Third-Party Products may change based on decisions made by the respective providers, which are outside Hemiley's control. Hemiley will make reasonable efforts to communicate material changes to purchased subscriptions in advance, and where a product is discontinued or materially altered, we will work in good faith with affected customers to find an appropriate resolution.

8.5 AI-Generated Outputs

Outputs produced by AI-powered tools available in the Premium section (including text, audio, code, or other generated content) are the result of third-party AI systems. Hemiley makes no representations or warranties regarding the accuracy, completeness, reliability, or fitness of AI-generated outputs for any purpose. You are solely responsible for reviewing and verifying AI-generated outputs before relying on them.

8.6 Support

For billing, access, or account matters related to your Hemiley purchase of a Premium Tool, please contact us at support@hemiley.com. For issues specific to the functionality of a third-party product (such as AI responses, software bugs, or account-level settings within that product), we will make reasonable efforts to assist or direct you to the relevant provider's support channels.

9. Tool Availability and Accuracy

All tools on the Platform are provided "as is" and "as available." While we strive to ensure our tools are accurate, functional, and reliable, Hemiley makes no warranties or representations that:

• Any tool will be error-free or produce completely accurate results in every case
• The Platform will be available at all times without interruption, downtime, or technical issues
• Any tool will be suitable for your specific use case, industry, or requirements

We are continuously improving the Platform and may update, modify, temporarily suspend, or discontinue any tool at any time without prior notice.

10. No Professional Advice

The tools and outputs available on Hemiley are intended for general informational and productivity purposes only. They are not a substitute for qualified professional advice.

Specifically:

• Finance Tools (including EMI calculators, SIP calculators, tax estimators, and investment tools) — outputs are indicative only and do not constitute financial, investment, or tax advice. You should consult a qualified financial advisor before making any financial decision.
• Career Tools (including resume builders, salary calculators, and interview resources) — outputs are general guides and do not constitute employment, HR, or legal advice.
• SEO Tools — results are estimates and do not guarantee any specific search engine ranking or performance outcome.
• Writing Tools — outputs are productivity aids and should not replace editorial or professional review.
• Legal, medical, or academic outputs from any tool — these should always be reviewed by a qualified professional before reliance.

By using any tool on the Platform, you acknowledge and agree that you are solely responsible for verifying the accuracy and suitability of any output before relying on it.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Hemiley and its team shall not be liable for any damages or losses arising from your use of the Platform or its tools, or from a professional service or Premium Tool, except to the extent such liability cannot lawfully be excluded or is expressly accepted under an applicable service agreement, including:

• Loss or corruption of data
• Financial loss or loss of revenue
• Business interruption or loss of business opportunity
• Errors, inaccuracies, or omissions in tool outputs or AI-generated content
• Decisions made or actions taken solely based on the outputs of our tools or third-party AI products
• Any indirect, incidental, special, or consequential damages
• Any failure, change, or discontinuation of a third-party product available in the Premium section, beyond Hemiley's reasonable control

To the fullest extent permitted by applicable law, Hemiley's total liability arising from or relating to a specific claim shall be limited as stated in the applicable service agreement or, where no separate limitation is stated, to the amount actually paid by the claimant to Hemiley for the specific paid service or Premium Tool giving rise to the claim during the period relevant to that claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Hemiley and its team from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in any way connected with:

• Your use of the Platform or any tool
• Content or files you upload to the Platform
• Your violation of these Terms
• Your violation of the terms of any third-party product accessed through the Platform
• Your violation of any third-party rights, including intellectual property rights or privacy rights

This indemnification obligation will survive termination of these Terms and your cessation of use of the Platform.

13. Force Majeure

Hemiley shall not be held liable for any failure or delay in the performance of its obligations under these Terms arising from causes beyond its reasonable control, including but not limited to:

• Acts of God, natural disasters, or extreme weather events
• Power outages, internet disruptions, or telecommunications failures
• Cyberattacks, DDoS attacks, or other malicious third-party actions
• Government actions, regulations, or restrictions
• Third-party service outages (including hosting, CDN, analytics providers, or third-party product providers)

In such circumstances, Hemiley will take reasonable steps to restore the Platform as quickly as possible.

14. Third-Party Links

The Platform may contain links to external websites or resources operated by third parties. These links are provided for convenience and informational purposes only.

Hemiley does not control and is not responsible for the content, accuracy, or availability of any external websites, or the privacy practices or terms of any third-party websites. We encourage you to review the terms and privacy policies of any third-party websites you visit through links on our Platform.

15. Privacy

Your use of the Platform is also described in our Privacy Policy. The Privacy Policy explains how we collect, use, and protect personal data under the Digital Personal Data Protection Act, 2023.

Accepting these Terms is not consent to process your personal data. Where the Act requires consent, we ask for it separately. You can withdraw that consent and exercise your rights from the data rights page.

16. Changes to These Terms

Hemileyreserves the right to modify or update these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of this page. Your continued use of the Platform after any changes are posted constitutes your acceptance of the revised Terms. If we make material changes that significantly affect your rights, we will make reasonable efforts to notify users through the Platform.

17. Waiver

No failure or delay by Hemiley in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy. A waiver of any breach of these Terms by Hemiley shall not operate as a waiver of any subsequent breach.

18. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Karnataka, India, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India.

19. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable from the remaining Terms, which shall remain in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy and, where applicable, any accepted quotation, proposal, order, statement of work, invoice, or separate service agreement, constitute the applicable agreement between you and Hemiley regarding your use of the Platform and/or purchase of professional services or Premium Tools, and supersede prior agreements, communications, or understandings on the same subject to the extent permitted by law.
